Wholesale Terms & Conditions

Wooami Inc (“Wooami”, “Seller”, “we”) · Version 2026-10-draft (draft)

1. Eligibility

Wholesale accounts are only for registered businesses that resell to consumers and hold a valid seller's permit or resale certificate. We review every application and may approve, decline, or close any account at our discretion. Buyers must keep their business and tax information current.

2. Pricing

  • Wholesale prices are confidential and specific to your account. Do not share or publish them.
  • Prices, availability and product offerings may change without notice. The price on the order confirmation applies to that order.
  • Prices exclude freight and any applicable taxes. Resale-exempt orders require a valid resale certificate on file.

3. Minimum orders & case packs

Orders must meet the minimum order value shown in your account (currently $1,000 unless otherwise agreed) and are sold in full case-pack multiples only.

4. Payment: prepaid

  • All orders are prepaid. Orders ship only after payment is received in full, including freight.
  • Any other payment terms apply only if Wooami Inc grants them to a specific account in writing.
  • Accepted payment methods: credit/debit card or ACH via our invoice payment link, or Zelle (include your invoice number in the memo).
  • Credit card surcharge. Orders paid by credit card carry a processing fee of 3% of the order subtotal, shown at checkout and added to your invoice as a separate line. Check, wire and Zelle payments have no fee. Until online card payment is live, we send a secure card payment link with your invoice.

5. Shipping

Orders ship from our warehouse in Fullerton, California by carriers we select (e.g. UPS, USPS, FedEx, or LTL freight). All shipments are FOB Origin (Fullerton, CA). The buyer pays freight. Shipping is calculated and added after you place the order, and is included on your invoice before payment. Title and risk of loss pass to the buyer when we hand the goods to the carrier. Ship dates are estimates.

6. Damage, shortage & claims

Inspect shipments when they arrive. Report damage, shortages or wrong items within 7 days of delivery to wholesale@wooamius.com with your order number and photos of the outer carton, packaging, products and shipping label. Verified claims are resolved by replacement or credit. Claims reported later, or without photos, may be declined. Note visible carton damage on the carrier's delivery receipt.

7. Returns

  • Returns are accepted only with prior written authorization (an RA number from us), requested within 7 days of delivery. Returns without an RA number are refused.
  • Only unopened, resaleable items in original packaging can be returned.
  • Authorized returns carry a 15% restocking fee, and the buyer pays return shipping.
  • After we receive and inspect the return, we refund as account credit or to the original payment method.
  • No returns on clearance or short-dated items.

8. Marketplace resale (buyer's own risk)

Resale on Amazon, Walmart, TikTok Shop, eBay or other marketplaces is permitted at the buyer's own risk. Wooami Inc does not provide brand authorization and gives no protection, indemnity or support against brand or IP claims, takedowns or account suspensions; the buyer assumes all risk and indemnifies Wooami Inc; the buyer must follow brand MAP and platform rules.

  • The indemnity covers any resulting claims, losses, and costs, including reasonable attorneys' fees.
  • The buyer acknowledges this risk when applying and again with every order. Each acknowledgement is recorded with a timestamp.

9. MAP & brand use

  • Buyers must follow any Minimum Advertised Price (MAP) policies published by the brands or by us, and the rules of every platform they sell on.
  • Do not repackage, relabel, or alter products, and do not use brand trademarks in ways that suggest an affiliation.

10. Product authenticity

We source products from brands or their authorized distributors and guarantee they are authentic. Products are cosmetics for external use, labeled for the US market where required. Buyers are responsible for compliance in their own sales channels.

11. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim relating to an order is limited to the amount paid for the affected products. We are not liable for indirect, incidental, consequential, or lost-profit damages. We disclaim all implied warranties except those that cannot be excluded by law.

12. Governing law

These terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Orange County, California.

13. Changes

The seller under these terms is Wooami Inc. We may update these terms. The version posted when you place an order applies to that order.
